Contract Drafting and Negotiation

We advise entrepreneurs on the right legal structure to form their enterprise. We will advise on the choice of business entity, including formation of S corporations, C corporations, close corporations, limited liability companies (LLCs), and limited liability partnership (LLPs) and professional corporations for CPAs/accountants, doctors, dentists, architects, real estate and mortgage brokers, attorneys, and other licensed professionals.

Our lawyers have significant experience drafting and interpreting contracts between various business entities and individuals.

Employment contracts, web development contracts, non-disclosure agreements, assignments of intellectual property, distribution agreement, marketing and sales agent agreement, affiliate marketing agreement, purchase contract, asset acquisition agreement — these are a sample of the many types of legal agreements required to operate a business.

We also draft and negotiate agreements for the entertainment industry including music licensing distribution agreements, talent agent agreements, and others.

We are familiar with all the nuances of contracts including, for example, non-competes (non-competition clauses), and other provisions that can lead to litigation if not drafted carefully. We also have experience with claims of unfair business practices and unfair competition. For example, California has particularly strong laws against unfair competition, primarily contained within Section 17200 of the Business and Professions Code, which operates alongside related provisions in other sections of state law. Unfair competition can include such things as theft and misappropriation of trade secrets and customer lists; unfair, deceptive, untrue and misleading advertising; and price manipulation. Our experience with these many areas of law helps us bring our considerable savvy to any transaction.

Business transactions are not always as smooth as anticipated and unexpected disagreements between business partners or allegations of illegal activity can arise.
